Transactions Associate Attorney

Location: Dallas, TX

Our client, a prominent AmLaw 50 law firm, is seeking an experienced and highly-motivated Associate Attorney to join its nationally-integrated Transactions Practice Group in Dallas . This position offers an exciting opportunity to work on complex domestic and international mergers and acquisitions transactions (M&A), securities matters, and corporate governance for middle-market and upper-middle-market companies, as well as private equity firms.

Candidate Profile:

• JD from a top ABA-accredited law school with a strong academic record .
• Active Bar Admission in Texas .
• 3–7 years of substantive experience representing clients in M&A , corporate governance , financings , securities , and other commercial transactions .
• Strong background in drafting and negotiating transaction documents, with excellent communication and interpersonal skills.
• Positive attitude, exceptional work ethic, and a collaborative mindset.
• Ability to work effectively on teams and engage directly with partners, senior associates, and clients.

Key Responsibilities:

• Represent clients in complex domestic and international M&A transactions, including private equity investments and divestitures.
• Advise on corporate governance, securities compliance, and other commercial matters.
• Draft and negotiate transaction documents, including purchase agreements, financing documents, and corporate governance instruments.
• Collaborate with a nationally integrated team, supporting high-stakes transactions and ensuring the delivery of exceptional client service.
• Build and maintain strong client relationships, demonstrating the ability to manage multiple priorities and deadlines.
